FARM4PROFIT MOBILE APPLICATION PRIVACY & TERMS OF SERVICE

1.       ACCEPTANCE OF TERMS

By downloading, accessing, installing, registering for, or using the Farm4Profit mobile application (the “App”), website, services, content, data feeds, notifications, tools, reports, subscriptions, and related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”).

If you do not agree to these Terms, you may not access or use the Services.

2.       ELIGIBILITY

You represent and warrant that you are at least thirteen (13) years of age and have the legal capacity to enter into these Terms.

3.       INFORMATIONAL PURPOSES ONLY

The App and all content, information, data, forecasts, reports, articles, commentary, calculations, tools, alerts, notifications, market information, weather information, land value information, agronomic information, and other materials made available through the Services (collectively, the “Information”) are provided solely for informational, educational, and entertainment purposes.

Farm4Profit Media LLC is not a financial advisor, investment advisor, commodity trading advisor, broker, legal advisor, tax advisor, accountant, agronomist, crop consultant, engineer, insurance advisor, or other licensed professional service provider. Content is provided for informational purposes only, and Farm4Profit serves solely as a platform for third-party opinions. Any actions taken based upon information obtained through the App are solely at the user’s own risk.

Nothing contained within the App constitutes financial advice, commodity marketing advice, legal advice, tax advice, agronomic advice, investment advice, crop consulting services, or a recommendation to buy, sell, plant, harvest, spray, fertilize, hedge, insure, lease, purchase, or otherwise take action with respect to any crop, commodity, land, equipment, business, or investment. Users are solely responsible for all decisions made using Information obtained through the App.

4.       NO RELIANCE; ASSUMPTION OF RISK

You acknowledge and agree that:

(a)    You are not relying solely on Information displayed within the App;

(b)    You are responsible for independently verifying all Information;

(c)    Agricultural operations, commodity marketing, weather-related decisions, crop management, chemical applications, land transactions, and business decisions involve substantial risk;

(d)    Any decision made based upon Information obtained through the App is made entirely at your own risk.

5.       THIRD-PARTY DATA AND CONTENT DISCLAIMER

The Services aggregate and display information from third-party sources, including but not limited to:

Weather providers, Commodity exchanges, Market reporting agencies, News organizations, Government agencies, Land value providers, Mapping providers, Agronomic data providers, Financial and economic data providers.

Farm4Profit does not create, verify, audit, validate, monitor, endorse, guarantee, or warrant the accuracy, completeness, timeliness, reliability, availability, suitability, or usefulness of any third-party information.

All Information is provided “AS IS” and “AS AVAILABLE” and may contain inaccuracies, delays, omissions, interruptions, technical errors, or outdated information.

Farm4Profit is merely an information aggregator and technology platform and shall not be responsible for errors, omissions, delays, inaccuracies, interruptions, or failures in any third-party data source.

6.       WEATHER, MARKET, LAND VALUE, AND AGRONOMIC DATA

Weather forecasts, radar data, spray windows, market prices, cash bids, futures prices, land values, agricultural news, crop information, and agronomic information are provided solely as informational tools.

Farm4Profit does not guarantee the accuracy or timeliness of any such information.

Users are solely responsible for independently evaluating all information prior to making planting, harvesting, spraying, fertilizing, irrigation, marketing, purchasing, leasing, financing, or land management decisions.

7.       USER RESPONSIBILITIES

You agree to use the Services only for lawful purposes.

You are solely responsible for any decisions, actions, transactions, purchases, applications, investments, trades, farming activities, or business decisions made based upon Information available through the Services.

8.       ACCOUNTS AND SECURITY

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify Farm4Profit immediately of any unauthorized use of your account. Farm4Profit shall not be liable for losses arising from unauthorized account access.

9.       MODIFICATIONS TO THE APP AND SERVICES AND SOFTWARE UPDATES

Farm4Profit reserves the right, at any time and in its sole discretion, to modify, update, suspend, discontinue, replace, remove, restrict access to, or otherwise alter any portion of the Services with or without notice.

Farm4Profit may add, remove, replace, or modify data sources, content providers, integrations, functionality, features, subscriptions, pricing, and user interfaces at any time.

Farm4Profit shall not be liable for any modification, suspension, discontinuation, interruption, or removal of any feature or service.

Farm4Profit may deploy updates, upgrades, enhancements, patches, fixes, and new versions of the App at any time and without prior notice.

Continued use of the App may require installation of Updates.

Farm4Profit has no obligation to maintain any specific version, feature, compatibility standard, or functionality.

10.  INTELLECTUAL PROPERTY

All App content, including but not limited to podcasts, videos, audio recordings, transcripts, articles, reports, graphics, logos, trademarks, software, source code, educational materials, downloads, newsletters, data compilations, and proprietary content (“Farm4Profit Content”) are owned by or licensed to Farm4Profit Media LLC.

Farm4Profit retains all right, title, and interest in and to the Services and Farm4Profit Content.

Users receive only a limited, non-exclusive, revocable license to access and use the Services for personal, non-commercial use.

11.  PROHIBITED USES

Users may not:

Copy, reproduce, republish, distribute, sell, or exploit Farm4Profit content, create derivative works, scrape, harvest, or extract data, use bots, crawlers, spiders, or automated tools, share paid content, share account credentials, remove copyrights, trademarks, or branding, use Farm4Profit content for commercial or self promotional  purposes, use Farm4Profit content to train artificial intelligence systems, machine learning models, large language models, datasets, or automated systems.

12.  TRADEMARKS

The Farm4Profit name logos, slogans, and branding elements are proprietary trademarks and service marks of Farm4Profit Media LLC. Unauthorized use is strictly prohibited.

13.  NO CONTENT SHARING

Subscription content, premium content, member-only content, downloads, reports, videos, podcasts, and educational materials may not be redistributed, reposted, copied, or shared without prior written consent.

Farm4Profit reserves the right to suspend, restrict, terminate, or remove access to any account, feature, subscription, or Service at any time and for any reason.

14.  DISCLAIMER OF WARRANTIES

The services are provided “as is” and “as available.”

To the maximum extent permitted by law, farm4profit disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, or performance.

15.  LIMITATION OF LIABILITY

To the maximum extent permitted by law, farm4profit shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes but is not limited to:

Crop loss, Yield loss, Application errors, Commodity marketing losses, Trading losses, Financial losses, Lost profits, Equipment damage, Property damage, Business interruption, Regulatory penalties or Data loss.

In no event shall Farm4Profit’s aggregate liability exceed the greater of:

(a)    One Hundred Dollars ($100); or

(b)    The total amount paid by the user during the twelve (12) months preceding the event giving rise to the claim.

16.  INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Farm4Profit Media LLC and its officers, managers, employees, contractors, affiliates, and agents from and against any claims, damages, liabilities, losses, costs, and expenses arising out of your use of the Services.

17.  FORCE MAJEURE

Farm4Profit shall not be liable for delays, interruptions, failures, or damages resulting from causes beyond its reasonable control, including natural disasters, weather events, internet outages, cyberattacks, governmental actions, labor disputes, third-party service failures, or acts of God.

18.  DISPUTE RESOLUTION

The parties shall first attempt to resolve disputes through good-faith negotiations.

If unresolved within thirty (30) days, the parties shall participate in at least four (4) hours of mediation administered pursuant to the Commercial Mediation Procedures of the American Arbitration Association.

The mediation shall occur in Des Moines, Iowa.

Each party shall bear its own costs and equally share mediation fees.

Completion of mediation is a condition precedent to filing legal action, except for actions seeking immediate injunctive relief relating to intellectual property, confidentiality, trademarks, copyrights, trade secrets, or other rights that may suffer irreparable harm.

19.  GOVERNING LAW AND VENUE

These Terms shall be governed by and construed under the laws of the State of Iowa. Any legal proceeding shall be brought exclusively in the state or federal courts located in Iowa.

20.  SEVERABILITY

If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

21.  ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any applicable subscription terms, constitute the entire agreement between the parties regarding the Services.

22.  CHANGES TO TERMS

Farm4Profit reserves the right to modify these Terms at any time. Updated Terms may be posted within the App or on Farm4Profit-controlled platforms. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
